A British pharmaceutical company is trying to bolster its £35 million (£17.8 million) acquisition of the world’s leading drugmaker, the biggest ever for the company.
Cob Generic Pharmaceuticals Ltd., the world’s leading pharmaceutical company, bought the British drugmaker's (Boehringer Ingelheim) stake in the world’s first generics company last month. The move was part of an agreement signed last year between the companies, which had previously bought Bristol-Myers Squibb for $1.5 billion, the company said in a statement on the company’s website.
Boehringer's acquisition, which would have taken the global company's drug portfolio of more than 3,000 products, will allow Cob to continue to expand and develop its own pharmaceuticals and other pharmaceutical products. The company is seeking $35 million in cash and the exclusive right to sell its products as a single generic or as a "super branded" generic. The company also plans to sell its "non-generic" products, including Lipitor, Viagra and Levitra.
The deal is expected to close in the fourth quarter.
Boehringer said it was "continuing to work with the regulatory authorities to ensure our products meet the highest standards of quality, safety and efficacy."
The deal was announced last month by Bimini, which is now part of Novartis AG, the world's second-largest drugmaker by revenue and the third-largest in developed and developing countries. It was announced in the first quarter of 2004, when the company reported sales of $1.2 billion. The company's shares fell 3 percent on the New York Stock Exchange after it disclosed the results of its annual earnings-based business and has reported sales of $1.5 billion since the closing of the deal in August.
Boehringer has said the transaction will be financed by an asset purchase agreement, which it has not yet announced, which would allow the company to buy the British drugmaker’s stake in its first generic product, Viagra, to expand the company’s portfolio of branded drugs to the US market.
The company’s shares were up $1.28 on the New York Stock Exchange, up 2 percent. Its stock had dropped 5 percent in early trading after Bimini announced the transaction.
Boehringer bought the world's first generics company and then bought the world’s second-largest drugmaker, the pharmaceutical company GlaxoSmithKline Plc, which has a global headquarters in London. The British company, which also has its main manufacturing plant in the US, has already announced a $100 million sale of the world’s second-largest drugmaker, the British drugmaker Cadila Pharmaceuticals Ltd., in a bid to boost its earnings, according to an executive order issued earlier this year.
The move has been subject of intense scrutiny by British regulators and the US Food and Drug Administration, which is concerned about the company’s drug pipeline.
Glaxo’s decision to buy the company was part of a strategy to bolster the company's overall portfolio of branded drugs, which it has already sold.
The deal is expected to close in the second half of 2004.
Glaxo is the world's largest drugmaker by revenue and by total sales.
The British company said it was “continuing to work with the regulatory authorities to ensure our products meet the highest standards of quality, safety and efficacy.”
A statement from Cob said: “We have long-term relationships with the regulatory authorities in the US, Europe, and Australia to ensure our products meet the highest standards of quality, safety and efficacy. Our current agreement with Cob is an important step towards ensuring that our products meet these standards.”
The company is currently in discussions with the US FDA about the sale of Cob products to potentially other countries for which it has a patent.
GlaxoSmithKline Plc, the world's second-largest drugmaker by revenue and by total sales, is buying the world’s third-largest drugmaker, the pharmaceutical company Eli Lilly Plc, which has a global headquarters in London, on a deal to add to its portfolio of branded drugs.Aldrich's acquisition of Cob is expected to close in the second half of 2004.
The company's shares were up $1.
